Master Digital Asset License Agreement & Terms of Service (EULA)

Licensor: TITAN Lab & TITAN Technologies LLC
Applies To: All proprietary software, templates, Notion workspaces, compliance frameworks, codebases, audio briefings, and micro-SaaS products.

CRITICAL LEGAL NOTICE: By completing a purchase, checking the agreement box, downloading files, duplicating Notion workspaces, or accessing our products, you ("Licensee") unconditionally agree to be legally bound by this Agreement.

1. Grant of Limited License (Not a Transfer of Ownership)

All digital assets, code, frameworks, and documentation are licensed, not sold. Licensor retains 100% of all global copyright, patent, trademark, and trade secret rights. You receive a revocable, non-exclusive, non-transferable, single-seat personal/business license for internal operational use only.

2. Strict Prohibition of Reverse Engineering, Resale & AI Model Exploitation

You agree that you shall NOT, directly or indirectly:

Resell or Distribute: Sublicense, rent, resell, share, or syndicate the assets on any marketplace (Gumroad, Lemon Squeezy, Etsy, GitHub, Reddit, torrents, or shared cloud folders).
Reverse Engineer: Decompile, disassemble, or reverse engineer any scripts, daemons, or algorithmic structures.
AI Training & Ingestion Ban: You are strictly prohibited from uploading, feeding, or prompting any portion of our proprietary frameworks, prompts, or code into public or commercial Artificial Intelligence models (including ChatGPT, Claude, Gemini, DeepSeek, or open LLMs) for the purpose of training models, reverse engineering architectures, or generating derivative competing products.

3. Forensic Steganographic Watermarking & Canary Tracking Consent
Licensee acknowledges and agrees that all downloaded assets contain cryptographically signed, invisible steganographic canary watermarks (Zero-Width Unicode sequences, metadata digests, and micro-honeytoken beacons) uniquely tied to Licensee’s email address, order ID, and transaction hash.

Discovery of any asset on public forums, repositories, or piracy sites will be forensically attributed to Licensee as conclusive legal proof of breach, triggering liquidated damages of $50,000 USD per violation plus statutory damages under 17 U.S.C. § 504 and legal expenses.

4. Unilateral Termination & Revocation Rights

Licensor reserves the absolute, unilateral right to immediately terminate access, revoke licenses, disable download endpoints, and ban accounts without prior notice and without refund upon any breach or suspected unauthorized redistribution.

5. "AS-IS" Warranty & Maximum Limitation of Liability

All products are provided strictly on an "AS-IS" basis without warranties of any kind. Under no circumstances shall Licensor be liable for indirect, incidental, or consequential damages. Licensor's total aggregate liability under any legal theory is strictly capped at the actual purchase price paid by Licensee ($25.00 USD for Scope Guard; $79.00 USD for GDPR Kit).

6. Governing Law & DMCA Authority

This Agreement is governed by international copyright conventions (Berne Convention) and the United States Digital Millennium Copyright Act (17 U.S.C. § 512). Licensor reserves the right to execute expedited DMCA takedowns and ISP freezes immediately upon detection of infringing content.
